CERTIFIEDBEATS.COM MUSIC LICENSE AGREEMENT

NON-EXCLUSIVE MUSIC LICENSE

This agreement (the "License") is made between Stanley Nash from CertifiedBeats.com (the "Producer") and any purchaser (the "Licensee") who obtains this license by purchasing a beat from CertifiedBeats.com.

1. GRANT OF LICENSE

The Producer grants the Licensee a non-exclusive, unlimited-use license to use the purchased beat (the "Music") for commercial and non-commercial purposes, including but not limited to:

Recording and releasing songs,

Streaming on platforms (Spotify, Apple Music, YouTube, etc.),

Live performances,

Synchronization in films, videos, and commercials,

Podcasts, radio, and digital broadcasts.

2. RIGHTS RETAINED BY PRODUCER

The Producer, Stanley Nash, retains 100% of all rights, ownership, and copyrights to the Music.

The Licensee does not have the right to claim ownership of the Music.

This License is non-transferable and non-exclusive, meaning other parties may also license the same Music.

3. COMPENSATION AGREEMENT

The Licensee is entitled to unlimited streams and distribution with this License.

If the song featuring the Music enters music charts, generates $5,000 or more in revenue, sells digital downloads, or is synchronized in a film, video, or commercial generating revenue, the Licensee agrees to pay the Producer 50% of all sales revenue or negotiate the sale of publishing rights.

The Licensee must provide quarterly sales, streaming, and synchronization revenue reports upon request from the Producer.

The Licensee agrees to register the Producer (Stanley Nash) as a co-publisher or songwriter with BMI (IPI #00462874918), ASCAP, SESAC, or other relevant PROs if applicable.

Failure to comply with these obligations may result in legal action and termination of the License.

4. EXCLUSIVE PURCHASE OPTION

The Licensee may submit an offer to purchase exclusive rights to the Music at any time.

If exclusive rights are purchased, the Music will be automatically removed from the CertifiedBeats.com catalog.

5. LICENSEE VERIFICATION

The Licensee may present proof of purchase from CertifiedBeats.com as verification of this License.

The Producer does not personally sign or include the Licensee’s name in the agreement but recognizes valid proof of purchase as evidence of rights granted under this License.

The Licensee must retain a copy of the receipt and downloaded license agreement for verification purposes.

6. TERMINATION

This License remains valid perpetually, unless breached by failure to compensate the Producer as outlined in Section 3.

The Producer reserves the right to terminate this License if the Licensee is found in violation of the terms.

7. GOVERNING LAW

This Agreement shall be governed by and interpreted in accordance with the laws of the United States of America.

PRODUCER AGREEMENT

This serves as an official agreement between Stanley Nash from CertifiedBeats.com (the "Producer") and any Licensee purchasing a beat. By purchasing Music from CertifiedBeats.com, the Licensee agrees to the terms of the Music License Agreement above.
